User Agreement

Introduction

This User Agreement (this "Agreement") is a binding contract between you ("User," "you," or "your") and RaterSoft ("RaterSoft" or "we"). This Agreement describes the types of information we may collect from you or that you may provide when you visit the website app.ratersoft.com (our "Website"), your use of the Website, and our practices for collecting, using, maintaining, protecting, and disclosing that information. Please read this Agreement carefully to understand our policies and practices regarding your information and how we will treat it when using the Website.

THIS AGREEMENT TAKES EFFECT WHEN YOU ACCEPT IT IN CONNECTION WITH YOUR ACCOUNT OR USE OF THE SERVICES (the "Effective Date"). BY ACCEPTING THIS AGREEMENT, YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT; (B) REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AGREEMENT AND, IF ENTERING INTO THIS AGREEMENT FOR AN ORGANIZATION, THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THAT ORGANIZATION; AND (C) ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS. ONLY YOU MAY ACCESS THE ACCOUNT THAT YOU CREATE ON THIS WEBSITE; DO NOT SHARE YOUR LOGIN INFORMATION WITH ANY OTHER PARTY.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

Definitions

Aggregated Statistics
Data and information related to User's use of the Services that is used by RaterSoft in an aggregate and anonymized manner, including to compile statistical and performance information related to the provision and operation of the Services.
User Data
Other than Aggregated Statistics, information, data, and other content, in any form or medium, that is submitted, posted, or otherwise transmitted by or on behalf of User through the Services.
Documentation
RaterSoft's user manuals, handbooks, and guides relating to the Services provided by RaterSoft to User either electronically or in hard copy form.
RaterSoft IP
The Services, the Documentation, and any and all intellectual property provided to User in connection with the foregoing. For the avoidance of doubt, RaterSoft IP includes Aggregated Statistics and any information, data, or other content derived from RaterSoft's monitoring of User's access to or use of the Services, but does not include User Data.
Services
The software services provided to you through the Website.

Aggregated Statistics

RaterSoft may monitor User's use of the Services and collect and compile Aggregated Statistics. As between RaterSoft and User, all right, title, and interest in Aggregated Statistics, and all intellectual property rights therein, belong to and are retained solely by RaterSoft. User acknowledges that RaterSoft may compile Aggregated Statistics based on User Data input into the Services. User agrees that RaterSoft may (i) make Aggregated Statistics publicly available in compliance with applicable law, and (ii) use Aggregated Statistics to the extent and in the manner permitted under applicable law; provided that such Aggregated Statistics do not identify User.

Intellectual Property Ownership; Feedback

  1. RaterSoft IP. User acknowledges that, as between User and RaterSoft, RaterSoft owns all right, title, and interest, including all intellectual property rights, in and to the RaterSoft IP.
  2. User Data. RaterSoft acknowledges that, as between RaterSoft and User, User owns all right, title, and interest, including all intellectual property rights, in and to the User Data. User hereby grants to RaterSoft a non-exclusive, royalty-free, worldwide license to reproduce, distribute, and otherwise use and display the User Data and perform all acts with respect to the User Data as may be necessary for RaterSoft to provide the Services to User, and a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to reproduce, distribute, modify, and otherwise use and display User Data incorporated within the Aggregated Statistics.
  3. Feedback. If you send or transmit any communications or materials to RaterSoft by mail, email, telephone, or otherwise, suggesting or recommending changes to the RaterSoft IP, including without limitation new features or functionality relating thereto, or any comments, questions, suggestions, or the like ("Feedback"), RaterSoft is free to use such Feedback irrespective of any other obligation or limitation between the parties governing such Feedback. User hereby assigns to RaterSoft on User's behalf, and on behalf of its employees, contractors, and/or agents, all right, title, and interest in, and RaterSoft is free to use, without any attribution or compensation to any party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although RaterSoft is not required to use any Feedback.

Changes to This Agreement

We reserve the right to make changes to this policy at any time. If we make material changes to how we treat your personal information, we will notify you by email to the primary email address specified in your account or through a notice on the Website home page. The date this Agreement was last revised is identified at the top of the page. You are responsible for ensuring we have an up-to-date active and deliverable email address for you, and for periodically visiting our Website and this Agreement to check for any changes.
